(collectively the "Corsair Companies") notified the MPC Münchmeyer Petersen Capital AG (WKN: 518760/ISIN DE0005187603), Hamburg, Germany, pursuant to Section 27a No. 1 of the German Securities Act (WpHG) - with reference to their voting rights announcement pursuant to Section 21 and 22 of WpHG dated April 14th, 2010 - of the following with regard to MPC Münchmeyer Petersen Capital AG, Palmaille 67, 22767 Hamburg, Germany:
- The shareholding in MPC Münchmeyer Petersen Capital AG primarily serves the realization of commercial profits.
- The Corsair Companies currently do not intend to acquire or obtain by other means further voting rights in MPC Münchmeyer Petersen Capital AG. However, the Corsair Companies continually evaluate their options and, depending on the development of the stock price and the results of MPC Münchmeyer Petersen Capital AGs do not exclude the option of directly or indirectly acquiring further voting rights in MPC Münchmeyer Petersen Capital AG.
- Based on a shareholders' agreement with MPC Münchmeyer Petersen & Co. GmbH the Corsair Companies seek to take influence on the appointment of members of the management board and the supervisory board of MPC Münchmeyer Petersen Capital AG in accordance with the statutory provisions of the German Stock Corporation Act (Aktiengesetz) by exercising the voting rights in the general assembly. The Corsair Companies currently occupy one seat in the supervisory board of MPC Münchmeyer Petersen Capital AG and will nominate a second member of the supervisory board in coordination with MPC Münchmeyer Petersen & Co. GmbH.
- The Corsair Companies do not intend to fundamentally change the capital structure of MPC Münchmeyer Petersen Capital AG.
- Since the additional voting rights have been attributed to the Corsair Companies according to Section 22, para. I, sentence 1 No. 1 and Section 22 para. 2 WpHG, respectively, no funds were employed to acquire such voting rights.
