MPC Münchmeyer Petersen Capital AG has published on February 12, 2008 its decision to offer to the shareholders of HCI Capital AG to buy their registered shares without par value in HCI Capital AG (ISIN: DE000A0D9Y97 / WKN: A0D9Y9) in accordance with Section 10 Para. 1 German Takeover Code. Regarding the consideration for the shares of HCI Capital AG, MPC Münchmeyer Petersen Capital AG has announced to offer the minimum consideration as required by mandatory law which - based on the information then available - had been expected by MPC Münchmeyer Petersen Capital AG to be in the region of EUR 14,22 per share of HCI Capital AG. On February 21, 2008, the Federal Financial Supervisory Authority ("Bundesanstalt für Finanzdienstleistungsaufsicht") has informed MPC Münchmeyer Petersen Capital AG that the weighted average domestic stock market price of the shares of HCI Capital AG in the last three months preceding the publication amounts to EUR 14,22 as per February 11, 2008. The offer price will therefore amount to EUR 14,22 per tendered share of HCI Capital AG.
