FORIS AG (Securities ID No. 577580) announces that all investigations by the German Public Prosecutor's Office have ceased.
In January 2000, a bank employee preparing a purchase order for 130 FORIS shares mistakenly entered the securities ID number of the company as the number of items. The subsequent cancellation order was not properly processed by the German securities trading regulatory authority, the Bundesaufsichtsamt für den Wertpapierhandel (BAWe). Thereupon this authority - without any further investigation - expressed its assumption that the Management Board and Supervisory Board had improperly disposed of their shares during the lock-up period and BAWe requested the Public Prosecutor's Office to secure securities account statements through searches of company and private premises. In addition, a sacked employee of the company alleged that false figures had been published in the 1999 Status Report.
The public reporting of the searches and investigations caused a considerable drop in the share price. The Management and Supervisory Boards have insisted throughout that all allegations are false. They have proved that no shares were sold. And the figures published in the business reports were also correct.
Now that the Public Prosecutor's Office has closed its file on the case and ceased investigation, FORIS is to launch a compensation claim against the regulatory authority BAWe. FORIS is of the opinion that there has been a clear breach of duty giving grounds for legal redress.
