The sender is solely responsible for the contents of this announcement.
TA plans to issue in the second quarter of 2000 a 5-year bond exchangeable into shares of Zapf Creation AG. The shares underlying the bond should represent approximately 20% of the share capital of Zapf Creation. SG Investment Banking has been mandated to lead manage this transaction. A further sale of Zapf Creation shares by TA is not envisaged at this point in time. Furthermore, in the mid-term TA will hold approximately 25% of the share capital of Zapf Creation (including the underlying shares to the exchangeable bond). The lock-up agreed at the time of the Zapf Creation IPO has been waived.
