Plambeck Neue Energien AG (Cuxhaven) offers its shareholders the shares of Plambeck Energiekonzept AG (Cuxhaven) for acquisition. The definite spin-off and independence of the Power Trade is the goal of this measure. All activities of the former business area of Plambeck Neue Energien AG were assigned to Plambeck Energiekonzept AG. Plambeck Energiekonzept AG was founded on 20 September 2000 by signing the articles of the association. The share capital amounts to 2.5 mill. EURO and is divided into 2.5 mill. shares.
These shares are being offered to the shareholders of Plambeck Neue Energien AG at a price of 2 EURO per share. Plambeck Neue Energien AG could compensate its advanced expenses necessary for the set-up of the new company by selling the shares of Plambeck Energiekonzept AG. An official offering prospectus will not be available because the offer is at present exclusively given to shareholders of the Plambeck Neue Energien AG.
The offer is addressed to all persons who are or will be shareholders of the Plambeck Neue Energien AG on 6 December 2000. Information about the offer can be requested from Plambeck Neue Energien AG. Furthermore, the offer will be sent to all shareholders registered in the share register of the Plambeck Neue Energien AG on 6 December 2000. The period for share subscription will start on 11 December and end on 15 December 2000.
The Plambeck Energiekonzept AG is pursuing a new service and trade concept which is targeted on private households. Beside the power supply offer the households will also have the opportunity to check and assess their energy consumption. On this basis possibilities will be offered to the households to reduce their energy consumption and thus their expenses.
