- Statement by the Executive Board on share lock-ups -
The Executive Board of IVU Traffic Technologies AG (WKN 744 850) has now announced preliminary results for fiscal 2000. In view of the current developments on the Neuer Markt, it wishes to draw attention to existing obligations relating to IVU share transactions as follows:
On the basis of the preliminary figures available, 2000 revenues will be around DM 34.5 million (a 20 percent rise on 1999). Any further increase has been prevented for the time being by the postponement of contracts already confirmed. However, the consequence of this is that order books at the beginning of 2001 have risen by more than 150 percent year-on-year to over DM 20 million.
EBIT is forecast to climb by 320 percent to at least DM 3.0 million (1999: DM 0.71 million). More precise figures will be available in about four weeks.
Around DM 80 million from the IPO proceeds is still available to IVU Traffic Technologies AG for planned investments in product development, equity invest- ments and for internationalization.
Since IVU Traffic Technologies AG's IPO on July 7, 2000, all of the Executive Board's shares have been subject to an 18-month lock-up and remain held in blocked securities accounts. None of the Executive Board members has been directly or indirectly involved in transactions relating to shares of IVU Traffic Technologies AG since the IPO.
Employee shares (6 percent of all shares) are subject to a 12-month lock-up. The relevant banks have been notified of these lock-up periods.
Holders of shares purchased under the terms of the Friends & Family program (just under 120,000 of the total of 13.2 million shares) have been able to trade these shares since January 7, 2001.
