    BRAINPOOL TV AG is extending its Internet presence with targeted e-commerce activities for entertainment products. As part of this, BRAINPOOL TV has now formed a strategic partnership with ADORI AG. Both companies will from now on work closely together in designing e-commerce outlets. Following the BRAINPOOL TV AG revelation on Monday of the company's cooperation with CONDOMI for the special purpose of an on-line erotica shop, with ADORI the ideal partner has been found for all e-commerce channels in the field of entertainment. ADORI will develop the on-line shops for BRAINPOOL TV and act on behalf of BRAINPOOL TV in all aspects from dispatch to after sales services.

    The BRAINPOOL websites for the well-known television programmes TV total, Die Wochenshow or the erotic magazine programme Liebe Sünde are among the most extensive in Germany with a total of over 12 million hits. Because BRAINPOOL TV develops and produces all its TV programmes itself, merely granting broadcast licenses to broadcasters, all the rights to these TV brands are the property of BRAINPOOL TV. The Cologne media concern is therefore entitled to market the brands itself, not only on the Internet, but also by means of repeats on free TV, pay TV, through merchandising or live events.

    The partnership between BRAINPOOL TV and ADORI for Internet business is a long-term, strategic concept. This is why, prior to the ADORI flotation on the stock exchange, planned for the first half of 2000, BRAINPOOL TV has invested in a 10% share in the company. The BRAINPOOL Chief Executive Jörg Grabosch estimates the purchase price at around DM 7 million. This share will be held by the fully-owned BRAINPOOL TV subsidiary e-tv GmbH, which looks after all the BRAINPOOL TV Internet activities. In addition, BRAINPOOL TV will have a member on the ADORI AG Board of Directors.

    The first joint project by BRAINPOOL TV and ADORI is the development of an online shop for the new comedy portal www.comedyworld.de. Special shops for the websites www.tvtotal.de and www.wochenshow.de will follow. In addition, BRAINPOOL TV and ADORI are planning the joint development of cutting-edge marketing strategies, for example on Web TV or Web Radio.

    BRAINPOOL TV expects to make a special impact on its online shopping turnover through the exclusive marketing of its own recordings before these are released to the conventional trade. Thus, for example, fans of Stefan Raab will have the opportunity of ordering CDs by their idol on the Web two weeks prior to general release. With around 1.6 million recordings sold in 1999, BRAINPOOL has impressively demonstrated the great potential of this important merchandising sector.

This also means that in future we will benefit from the Internet expertise of ADORI for new e-commerce projects. Of course, we expect our investment to yield a clear growth in the value of our shareholdersn holdings. However, we will certainly not be quoting shares in the ADORI AG flotation on the stock exchange planned for the first half of the year 2000."
