Pursuant to section 21 para. 1 sentence 1 WpHG in connection with section 22 para. 1 sentence 1 no. 1 OJSC MCC "EuroChem", Moscow, Russia, notified us on 11 March 2008 that their percentage of voting rights of in K+S Aktiengesellschaft exceeded the threshold of 10% on 6 March 2009, and amounted to 10.58% (17,460,409 voting rights) as per the end of this date.
Pursuant to section 21 para. 1 sentece 1 WpHG EuroChem International Holding B.V., Amsterdam, The Netherlands, notified us on 11 March 2009 that the percentage of their voting rights in K+S Aktiengesellschaft exceeded the threshold of 3% and of 5% on 6 March 2009, and amounted to 5.03% (8,300,000 voting rights) as per end of this date.
All these voting rights are attributed to OJSC MCC "EuroChem", Moscow, Russia, pursuant to section 22 para. 1 sentence 1 no. 1 WpHG.
Voting rights that are to be attributed to OJSC MCC "EuroChem", Moscow, Russia, are held via the following companies which are controlled by OJSC MCC "EuroChem", Moscow, Russia, and whose holdings of voting rights amount to 3% or more in K+S Aktiengesellschaft: Eurochem A.M. Limited and EuroChem International Holding B.V.
The reason for these notifications is a transfer of shares from MCC Holding Limited to its indirect subsidiary EuroChem International Holding B.V. on 6 March 2009. This has triggered notification requirements for OJSC MCC "EuroChem" and EuroChem International Holding B.V. However, The Bank of N.T. Butterfield & Son Limited, Butterfield Trust (Bermuda) Limited, Linetrust PTC Ltd., Linea Ltd. and MCC Holding Limited still hold more than 15% of the voting rights in K+S Aktiengesellschaft, as has been notified already on 27 November 2009, because the voting rights from shares that are now held by EuroChem International Holding B.V. are attributed to these companies pursuant to Section 22 para. 1 sentence 1 no. 1 WpHG. Consequently, The Bank of N.T. Butterfield & Son Limited, Butterfield Trust (Bermuda) Limited, Linetrust PTC Ltd., Linea Ltd. and MCC Holding Limited are not obligated to issue a new notification pursuant to Section 21 para. 1 sentence 1 WpHG.
