Vienna Insurance Group: Supervisory board resolves on new, future-oriented management structures to reflect strong expansion

Expansion into the CEE area has been implemented step by step since 1990. Today the Vienna Insurance Group is represented in 23 countries of Central and Eastern Europe by about 50 insurance companies. Only recently, the purchase of s Versicherung Group from Erste Group was completed. The Vienna Insurance Group's vigorous growth over the past few years now requires a readapted, future-oriented form of management of the Group by the managing board.

Accordingly, the supervisory board of Wiener Städtische Versicherung AG Vienna Insurance Group at today's meeting carried the motion put forward by CEO Günter Geyer to adapt the top management structures of the Vienna Insurance Group to the strong expansion the insurance group has achieved over the past few years.

"The dynamics of our expansion and the size that our insurance group has now achieved require adapted, optimized management structures", says Vienna Insurance Group's CEO Günter Geyer in his comment on the new planned management positions and structures. "I am happy to state that by the resolutions adopted today the course for a powerful future of the Vienna Insurance Group has been set in our corporate bodies in terms of human resources. I am also particularly pleased that two excellent female executives, Christine Dornaus and Judit Havasi, are moving up to top management positions."

The supervisory board today passed the following resolutions:

Subject to the condition precedent of the entry into force of the amendment of the Articles of Association that provides for an increased number of members of the managing board, four new members of the managing board are appointed in addition to its current members. These new members are Martin Diviš, Christine Dornaus, Judit Havasi and Erich Leiß. The entire managing board of the Vienna Insurance Group Wiener Städtische will thus be composed of ten members as from May 2009.

Furthermore, Franz Fuchs und Roland Gröll are nominated as deputies for the entire managing board of the Vienna Insurance Group Wiener Städtische.

The entire managing board shall form two committees, one of which will deal primarily with issues relating to the entire Group (Vienna Insurance Group), while the other will primarily focus on the management of Wiener Städtische in Austria (Wiener Städtische). The two committees will be made up of the individual members serving on the entire managing board as from May 2009 and will be composed as follows:

Vienna Insurance Group Committee: Günter Geyer (Chairman) Karl Fink Martin Diviš Peter Hagen Peter Höfinger Martin Simhandl

Wiener Städtische Austria Committee: Günter Geyer (Chairman) Robert Lasshofer Christine Dornaus Judit Havasi Erich Leiß

The entire managing board and both committees will be headed by Günter Geyer. The terms of office of all managing board members will run until June 30, 2013.
