Pursuant to section 21 para. 1 sentence 1 WpHG EuroChem A.M. Limited, Limassol, Cyprus, notified us on 13 April 2009 that their percentage of voting rights in K+S Aktiengesellschaft, Kassel, Germany, fell below the thresholds of 5% and of 3% on April 09, 2009 and amounted to 0.01% (7,666 voting rights) as per the end of this date.
Pursuant to section 21 para. 1 sentence 1 WpHG EuroChem International Holding B.V., Amsterdam, The Netherlands, notified us on 14 April 2009 that their percentage of voting rights in K+S Aktiengesellschaft, Kassel, Germany, exceeded the threshold of 10% on April 09, 2009, and amounted to 11.02% (18,180,407 voting rights) as per the end of this date.
The reason for these notifications is a transfer of shares from EuroChem A.M. Limited to its sister company EuroChem International Holding B.V. This has triggered notification requirements for EuroChem A.M. Limited and EuroChem International Holding B.V. However, the transfer did not affect that the voting rights from the shares are attributed pursuant to Section 22 para. 1 sentence 1 no. 1 WpHG to the joint direct and indirect parent companies of the notifying companies. Consequently, this share transfer does not obligate The Bank of N.T. Butterfield & Son Limited, Butterfield Trust (Bermuda) Limited, Linetrust PTC Ltd., Linea Ltd., MCC Holding Limited and OJSC MCC EuroChem to issue a new notification pursuant to Section 21 para. 1 sentence 1 WpHG.
