technotrans successfully concludes acquisition in CD/DVD sector

technotrans AG, a leading systems supplier of equipment for the manufacture of print and optical storage media, acquired the electroforming business of the Dutch company Toolex International N.V. with effect from February 1, 2001. This takeover doubles technotrans' sales in the rapidly growing CD/DVD business area from 10 to 20 million euro (2001, estimate) and makes it the world market leader in this technology sector, with a share well in excess of 50 percent. The agreements were signed on Wednesday in Stockholm.
technotrans is acquiring all the activities of its competitor's group company Alpha Plating, together with its patents, expertise and service business for an installed base of nearly 400 customers. Electroforming plants are used to obtain "masters" for the production of optical storage media, in other words CDs and DVDs. Toolex intends to pull out of the electroforming business area altogether, and will in future offer its customers equipment manufactured by technotrans AG.
Half of the purchase price of EUR 10 million will be paid in technotrans shares, to be funded by a capital increase. Staggered lock-up periods have been agreed for these shares. A further portion of the transaction will be paid in cash, and the third portion via delivery agreements.
The current targets for the 2001 financial year of the technotrans Group (sales EUR 135 million and net profit for the year EUR 8 to 8.5 million) envisage sales of EUR 20 million for the CD/DVD division. This would mean that the figure for the CD/DVD division would double compared with 2000, attaining a 15 percent share of total sales in 2001. After depreciation and the costs of financing, the takeover is expected to make a positive contribution to the overall result within the year.
The anticipated sales for 2001 in the CD/DVD segment are based merely on the cumulative sales of the respective Toolex and technotrans divisions in the 2000 financial year, and do not yet incorporate any market growth. The underlying reason for this cautious planning approach is that the priority is to complete the integration of the acquisition swiftly and professionally within the 2001 financial year.
The company anticipates significant positive effects on the costs side as a result of the forthcoming sharp rise in production runs. In the context of the extension work currently in progress at the company's headquarters in Sassenberg - with assembly area set to double within the first half of the year - sufficient capacity for the CD/DVD sector was reserved early on in the planning process.
