On May 10, 2006 OMV announced its intention to submit an anticipatory
tender offer to the shareholders of Verbund AG.

The Austrian Takeover Commission in its decision of May 17, 2006 has
agreed to OMV's request to extended the normal time limit of 10 days
for submission of the tender documents to the Takeover Commission in
accordance with Sec. 10.1. of the Austrian Takeover Law. The tender
documents will now be submitted to the Takeover Commission by July
10, 2006 and publication of the offer is expected shortly thereafter
and at the latest by July 31, 2006.
