As reported OMV and Verbund are engaged in discussions about an
energy alliance. In this regard it is considered according to para 5
section 2 Übernahmegesetz (Austrian Takeover Act), to effect a
potential alliance, in addition to other elements of the transaction,
by means of a take over offer of OMV to the shareholders of Verbund.

Following the idea of a merger of equals the price would include a
minor premium on the average share price quotation of the last
months.
