Ludwig Merckle GmbH & Co KG, Blaubeuren, Germany, has notified us pursuant to Art. 21 I German Securities Trading Act of the following:

"Hereby we notify you pursuant to Art. 21 I German Securities Trading Act, that on 5 January 2009 (day of Adolf Merckle's death) out voting rights went over the thresholds of 3%, 5%, 10%, 15%, 20%, 25%, 30% and 50% and on that day amounts to 53.58% of the voting rights (66,970,070 voting rights).

Out of these 53.58% of the voting rights (66,970,070 voting rights) are assigned to us pursuant to Art. 22 I S. 1 No. 1 German Securities Trading Act.

The voting rights assigned to us are held by the following companies controlled by us whose votings rights in HeidelbergCement AG amount to 3% or more:

- Spohn Cement GmbH - Kötitzer Ledertuch- und Wachstuch-Werke Aktiengesellschaft - L. Merckle GmbH - KL Holding GmbH
