AUSTRIAN TAKEOVER COMMISSION ("ATC") REQUESTS ATRIUM EUROPEAN REAL ESTATE LIMITED ("ATRIUM") RESPONSE TO ENQUIRIES AND INDICATES ITS INTENTION TO INITIATE A FORMAL PROCEEDING PURSUANT TO ARTICLE 33 PARA 1 OF THE AUSTRIAN TAKEOVER ACT

Jersey, 30 December, 2008: Atrium European Real Estate Limited ("Atrium") (ATX: ATR) confirms that it has received a request from the Austrian Takeover Commission ("ATC") for its opinion (i) in relation to various criteria identified by the ATC as important in assessing the application of the Austrian Takeover Act ("ATA") to Atrium at the time partly paid shares were issued to Tshela Nominees AVV in 2006, (ii) whether such shares conferred a controlling interest in Atrium (as defined in article 22 of the ATA), (iii) whether there was a consequential breach of any obligation to make a mandatory bid to acquire outstanding certificates of Atrium and (iv) whether Meinl Bank AG and Julius Meinl AG were concerted with Tshela Nominees AVV. Atrium is requested to give its response by January 30, 2009.

In the request, the ATC has stated that the Second Senate of the ATC intends to initiate a formal proceeding pursuant to article 33 para 1 of the ATA to scrutinize these issues. It is assumed the final determination to initiate any

such proceeding will take into  account  the  responses  received  by  the  ATC.
Further, there can be no certainty as to the  timing  or  outcome  of  any  such
proceeding.
