On 28 March 2008, Royal Bank of Scotland Group plc, Edinburgh, Scotland, Great Britain, notified us the following:

"We, Royal Bank of Scotland Group plc, would like to make the following notification regarding the holding of voting rights held in HeidelbergCement AG, Berliner Straße 6, 96120 Heidelberg, Germany, according to § 21 WpHG in our own name and in the name of our subsidiary Royal Bank of Scotland plc, Edinburgh, Scotland, Great Britain.

1. Notification of voting rights in our own name (Royal Bank of Scotland Group plc)

We, Royal Bank of Scotland Group plc, exceeded the 3% and 5% threshold of § 21 para. 1 WpHG on 18 March 2008 and held 5.36% of the voting rights (i.e. 6,704,506 shares with voting rights) in HeidelbergCement AG.

Royal Bank of Scotland Group plc was attributed 5.36% of the voting rights (i.e. 6,703,156 shares with voting rights) in HeidelbergCement AG pursuant to § 22 para. 1 sent. 1 no. 1 WpHG in connection with § 21 WpHG via Royal Bank of Scotland plc. Royal Bank of Scotland plc is the legal title owner of those 6,703,156 shares with voting rights.

Royal Bank of Scotland Group plc was attributed 0.001% of the voting rights (i.e. 1,350 shares with voting rights) in HeidelbergCement AG pursuant to § 22 para. 1 sent. 1 no. 6 WpHG in connection with § 22 para. 1 sent. 2 WpHG.

2. Notification of voting rights in the name and on behalf of Royal Bank of Scotland plc

Royal Bank of Scotland plc exceeded the 3% and 5% threshold of § 21 para. 1 WpHG on 18 March 2008 and held 5.36% of the voting rights (i.e. 6,704,506 shares with voting rights) in HeidelbergCement AG.

Royal Bank of Scotland plc was attributed 0.001% of the voting rights (i.e. 1,350 shares with voting rights) in HeidelbergCement AG pursuant to § 22 para. 1 sent. 1 no. 6 WpHG in connection with § 22 para. 1 sent. 2 WpHG.

Royal Bank of Scotland plc acquired 5.36% of the voting rights (i.e. 6,703,156 shares with voting rights) under an Equity Repurchase Agreement."
