The sender is solely responsible for the contents of this announcement. ----------------------------------------------------- Norderstedt (ots Ad hoc-Service) - SOFTMATIC ACQUIRES RSW ORGA Softmatic AG, a leading supplier of standard software for the process industry, has acquired a 100% stake in RSW Orga, Germanys leading provider of software for predominantly medium-sized paint and varnish manufacturers. In the past, RSW-Orga, based in Mönchengladbach, had been Softmatics principal competitor in this segment, with an installed base of its DIBAC industry solution at 160 companies in Germany, Austria and Switzerland. The acquisition does not only increase Softmatics customer base, but also brings an injection of talent: more than 40 employees with specialist knowledge of the paint and varnish industries who realised revenues of some DM 8 million in fiscal 1999. The revenues of RSW for fiscal 2000 have not been included in Softmatics planning figures published earlier this year, according to which the company expects to increase revenues by 125% to DM 90 million by year end. The transaction is financed partly through cash and partly through capital stock already authorised for issue in exchange for a contribution in kind. Mönchengladbach will be Softmatic AGs eighth base in Germany, as well as the international competence centre for the paint and varnish industry. In addition to the one at Norderstedt, the DIBAC development division will become the Groups second development centre. PRODUCT LINES TO BE MERGED The DIBAC industry-specific solution will continue to be actively maintained and will be extended to include functionality provided by Softmatic. For DIBAC users, this means their standard software can be enhanced with components for international financial accounting, document management, customer relationship management and electronic business. They will also profit from Softmatics Europe-wide service and support organisation. The merger of the two companies fits the pattern of consolidation apparent on the ERP solution market and also reflects the concentration process taking place on the paint and varnish market. This latest acquisition by Softmatic, listed on the Neue Markt since June 1999, yet again brings it one step closer to its goal of becoming European leader for standard software for the process industry within the next two years.
